Introduction
Welcome to the website for Ivy League Study Skills, a learning and leadership institute to change the world. This agreement states the Terms of Use (“Terms of Use” or “Agreement”) in which you may access and use our services (www.ivyleaguestudyskills.com). You must read and accept all of the terms and conditions of this agreement in order to use this site or any of our services, including but not limited to the Ivy League Study Skills Learning and Leadership Institute.

By accessing or using ivyleauestudyskills.com and our Services, you signify that you have read, understand, and agree to be bound by these Terms of Use and the Ivy League Study Skills Privacy Policy, which is connected to this Terms of Use. This indicates your acceptance of the Agreement and that you are agreeing to use the Site at your own risk, whether or not you are a registered User of the Ivy League Study Skills Services.

We reserve the right, at our sole discretion, to modify (add, change, edit, delete) parts of this Agreement at any time and without prior notice. Your continued use of the site or of the services indicates your acceptance of the new Terms of Use. Moreover, it is your responsibility to regularly check and review the Site for any modifications to the Terms of Use. If you do not agree to be bound by the terms of this Agreement, you may not use or access our Service or the Site.

Definitions:
These definitions apply to this Agreement:
“Ivy League Study Skills” or the “Site” refers to www.ivyleaguestudyskills.com in its entirety (Services, Content, Programming, Text, Design, and Graphics) and any of its related sites owned or operated by Ivy League Study Skills LLC.
Institute means the Ivy League Study Skills Learning and Leadership Institute in its entirety, including but not limited to our student workbook and handouts that relate to the Institute.
Workbook means any student workbooks distributed for our Institute.
Handouts means any handouts distributed for our Institute.
Service means any services provided through our Institute or on the Site by Ivy League Study Skills or its agents.
Content refers to any Programming, Text, Design, and Graphics used on the Site.
Programming refers to client-side code and server-side code used on the Site.
Text refers to any text on every page of the Site.
Design refers to the color schemes and the page layout of the Site.
Graphics refers to any visual elements, logos, and buttons on the Site, except for any third-part advertisers.
User means a person who is accessing the Site to learn about or use our Services.
"You" and "you” refers to all individuals and/or entities accessing ivyleaguestudyskills.com for any reason.
Company, We, Us, Ours, Ivy League Study Skills, ILSS, means Ivy League Study Skills LLC.

Privacy Policy
Please review our Privacy Policy, which is a part of this User Agreement and describes how Ivy League Study Skills handles your personal information that is collected from the Site or our registration forms.

Service and Use of Service
The Site is intended for individuals seeking to learn about and register for our Service, including our Ivy League Study Skills Institute. Your use of our Service and Site is governed by this User Agreement and You may only use this Site for lawful purposes. Ivy League Study Skills may refuse Service and access to the Institute or Site without prior notice to You or any User for any reason whatsoever, including for no reason.

The Institute is a rigorous two-day learning and leadership skills training for soon-to-be or recently entered college students. The focus of the Institute is to teach students who to manage their own critical thinking process and to apply their knowledge and learning in order to make their learning experiences and lives more meaningful and in ways that positively contribute to society.

The sessions will last from roughly 8 am to 5 pm for those two days and will be held in meeting spaces at hotels, schools, businesses, or other appropriate venues. All Institute sessions will be taught by Ivy League students or graduates. The cost of the Institute will be clearly displayed on the Site. Low-income students may apply to the Institute and attend for free or at a substantial discount through our Star Scholarship program (the policies are specified on our Site).

Through the Site, you can choose to use our invitation service to invite others to our Service. If you choose to do this, we will ask you to provide the email address of any person or entity you want to send an invitation to and will use this information to send an email to these recipients, on your behalf, inviting them to access the Site and learn about our Services.

Ivy League Study Skills does not and cannot guarantee any specific results, including but not limited to higher test scores, grades, or leadership performance, from the participation in the Institute or use of the Workbook, Handouts, Service, or Site.

Cancellation Policy
You must cancel your reservation and payment with the ILSS learning and leadership institute at least seven days before the institute starts to receive a full refund (minus a small handling fee to process your original payment) by completing the form on the Site.

If You cancel your reservation after this period (but before the first session), then You will be refunded your original payment minus a $100 service and cancellation fee.

If You attend the first day and are not completely satisfied with the Institute, we will gladly refund your original payment minus a $200 service and cancellation fee and will also cancel your reservation for the second day of the Institute. You must also return to your instructor, by the end of the Institute, all portions of the Workbook or Handouts that relate to the second day of the Institute.

You can find the cancellation form on the Site and, once completed, can email it to info@ivyleaguestudyskills.com or fax it to (641)-795-1898. You can expect to receive your refund check no later than seven business days after we receive this form.

Copyright
Copyright on all Workbooks, Handouts, and this Site and all materials included in it are owned by Ivy League Study Skills LLC and all rights are reserved. You must abide by all copyright notices and restrictions contained on this Site. You may not copy, distribute, enter into a database, display, perform, create derivative works of, transmit, or otherwise use any materials from this Site (including computer programs or other code), unless we have specifically authorized you to do so and then only for personal, non-commercial use, and only if you do not alter the text or remove any copyright or other notice or information displayed on the Site or in the Institute.

User Conduct
Users agree to use this Service and Site only for personal, non-commercial use and understand that the use of our Services and Site is a privilege and can be suspended or terminated at any moment and without notice by Ivy League Study Skills, at its sole discretion, if we determine You are in violation of the Agreement, or for any or no reason.

You may not use the Ivy League Study Skills name or
You represent, warrant and agree that you will not use the Service and Site to:

* Copy, reproduce, duplicate, or distribute in any manner, in part or whole, any of the Workbooks or Handouts from our Institute or Content or information from or on the Site, without express written consent from Ivy League Study Skills;

* Sell or modify any of the information from our Ivy League Study Skills workbooks or handouts from our Institute;

*Sell or modify, or Content in any way for any public or commercial use.

*Use the Service or Site in any manner that can interrupt, limit, damage, disable, or impair the functionality of the Site and of any computer software or hardware;

*Submit through our registration form any false, incomplete, or inaccurate information, or pose as an individual or entity (real or not), or misrepresent yourself in any way, including but not limited to age, professional experiences, skills, education, and biographical information;

*Use the Service or the Site in an unlawful manner;

*Register for our Service on behalf of a third party, individual, group, or entity, unless you are the parent or legal guardian of a student;

*Collect information from the Site using automated scripts or use any other process (e.g. “crawl” or “spider”) that will interact with any of the pages on the Site;

* Link to or “frame” any Content or information on the Site.

Ivy League Study Skills Communications
You agree to receive emails which are specific to your registration (e.g. welcome emails, notification of the Institute, alumni Submissions to Celebrate, and new features of the Institute or the Site). You also agree to have your name listed in the header of email invitations and correspondence which you initiate through the Ivy League Study Skills Site.

Fees
Ivy League Study Skills reserves the right to modify or adjust the price we charge individuals who register for our Institute or any of our other Services without prior notice and at any moment. Furthermore, Ivy League Study Skills reserves the right to add to, enhance, improve, change, or discontinue the Ivy League Study Skills Service, Site, or any part of the Service or Site, without prior notice to You and at any moment for any or no reason.

Indemnification
You agree to indemnify, defend, and otherwise hold harmless Ivy League Study Skills, its directors, officers, employees, agents, subsidiaries, affiliates, and partners from and against any claims, loss, liability, actions, demands, damages, costs, or fees resulting from or in relation to: 1) your use of or access to (whether authorized or not) our Institute, Service, or Site Service; 2) any law or rights of any third party; or 3) any other matter relating to the Institute, Site, or Service.

You also understand and agree that Ivy League Study Skills may disclose personally identifiable information if required to do so by law to comply with the legal process, enforce this Agreement, or protect the rights, property, or safety of Ivy League Study Skills, its Users and Institute participants, and the public.

Disclaimers
YOU UNDERSTAND AND AGREE THAT THE IVY LEAGUE STUDY SKILLS INSTITUTE, SERVICE, SITE, AND CONTENT ARE PROVIDED “AS IS” AND THE COMPANY CANNOT AND DOES NOT GUARANTEE ANY SPECIFIC RESULTS FROM THE PARTICIPATION IN OR USE OF THE INSTITUTE, SITE, OR SERVICE. YOU UNDERSTAND AND AGREE THAT IVY LEAGUE STUDY SKILLS CANNOT AND DOES NOT GUARANTEE IMPROVED TEST SCORES, GRADES, OR OTHER PERFORMANCE INDICATORS (INCLUDING THOSE RELATING TO LEADERSHIP).

IVY LEAGUE STUDY SKILLS DOES NOT REPRESENT OR WARRANT THAT CONTENT OR MATERIALS IN OUR WORKBOOKS, HANDOUTS, OR ON THIS SITE, SERVICE, OR ITS SERVERS ARE ACCURATE, RELIABLE, TIMELY, COMPLETE, CURRENT, ERROR FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU UNDERSTAND AND AGREE THAT ANY CONTENT OR MATERIAL YOU VIEW OR DOWNLOAD FROM THE SITE OR SERVICE ARE AT YOUR OWN RISK AND THAT YOU ARE SOLELY RESPONSIBLE FOR ANY KIND OF LOSS (MATERIAL, DATA, AND OTHER), DAMAGES, OR HARM TO A COMPUTER SYSTEM, MOBILE DEVICE, HARDWARE OR SOFTWARE THAT MAY RESULT. Under no circumstances can we or will we be liable in any way for any loss or damage of any kind incurred as a result of the use of, access to, limited use and access to, or denial of access to the Institute, Site, or Service.

The Company reserves the right to change any, portions of, or all of the Workbook, Handouts, Content or other material on the Site or through the Institute or Service at any time without notice to You for any reason or no reason.

Any Content or material on the Site or Service or at the Institute that references products, services, processes, or other information does not constitute or imply endorsement or sponsorship by, recommendation of, or any affiliation with Ivy League Study Skills. No advice or information, whether oral or written, obtained by You from Ivy League Study Skills or through the Institute, Service, or Site shall create any warranty not expressly stated herein.

Limitation on Liability
YOU UNDERSTAND AND AGREE THAT, UNDER NO CIRCUMSTANCES, WILL IVY LEAGUE STUDY SKILLS OR ANY OF ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES FROM YOUR PARTICIPATION IN THE INSTITUTE OR USE OF THE SITE OR SERVICE, EVEN IF THE COMPANY IS AWARE OR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE COMPANY'S TOTAL CUMULATIVE DAMAGES OR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER, REGARDLESS OF THE FORM OF THE ACTION, SHALL AND WILL NEVER EXCEED US $100. YOU UNDERSTAND AND AGREE THAT, IF NO FEES ARE PAID TO THE COMPANY FOR ANY SERVICE OR THE INSTITUTE, YOU SHALL BE LIMITED TO INJUNCTIVE RELIEF ONLY AND SHALL NOT BE ENTITLED TO DAMAGES OF ANY KIND FROM IVY LEAGUE STUDY SKILLS, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES, REGARDLESS OF THE CAUSE OF ACTION. SINCE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

The Site and Institute Workbooks or Handouts may contain links to third-party Web sites as a convenience to You, but they are not an endorsement by Ivy League Study Skills of the contents on such sites. Ivy League Study Skills does not make any representations regarding and is not responsible for the content or information on any of these third-party sites. You access and use these third party web sites at your own risk.

No Resale or Unauthorized Commercial Use
You agree not to sell, resell, transfer, or assign your rights (under these Terms of Use) or registration to any third party for any reason. You agree not to copy, sell, resell, or transfer any parts or whole of the Workbook or Handouts to any third party for any reason. You also agree not to make any unauthorized commercial use of Ivy League Study Skills.

Termination
We reserve the right to suspend our Site or terminate this Agreement at any moment for any reason, or no reason at all, including but not limited to your violation of any of the provisions in the Agreement. The Disclaimers and Limitation of Liability sections as specified in this Agreement shall survive any such termination.

You understand and agree that Ivy League Study Skills can do any of the following for any reason, or no reason, at any time in its sole discretion, with or without notice to You: 1) terminate your registration; or 2) prohibit You from using or accessing the Service or the Site. If you registered for any Service, you will only receive the amount of money you paid for the Service and nothing more.

These Terms of Use constitute a binding agreement between You and Ivy League Study Skills. Once You access or use the Ivy League Study Skills Service or Site, you indicate your acceptance of these Terms and represent and warrant that you have the right, authority, and capacity to accept these Terms.
